This website development services agreement is intended as a legally binding agreement between Sunlake Interactive and the business signing collectively known as the “Client”. Client has agreed to allow Sunlake Interactive to create, develop, test, and host a website according to the scope of work outlined on the order form. Sunlake Interactive is interested in undertaking such work; and Client and Sunlake Interactive mutually desire to set and agree to the following terms and conditions as listed.


Scope of Work


Sunlake Interactive is being hired as a subscription website design service. Website will be designed on Sunlake Interactive’s platform of choice which can change at anytime. Website design will not exceed 5-7 pages of new or transferred content on the first design. Title tags, description tags and local SEO for your business are included in all plans.


Length of Term


At the start of service which begins on the date this agreement is signed and payment is made, the client is signing a 12 month contract. All automatic payments are non refundable once the payment is completed. Clients who choose a 12 month contract will be responsible for the remaining months of the contract should they choose to terminate the contract early. The remaining balance of a terminated contract will be charged to the card on file on the date of termination. Failure to pay all 12 months in full will result in Sunlake Interactive retaining ownership of the domain. Sunlake Interactive reserves the right to report unpaid dues to a collection agency.



Sunlake Interactive Requirements


Client hereby retains the services of Sunlake Interactive to design, develop and host a website and necessary additional items as listed in accordance with the proposal submitted by Sunlake Interactive to Client and signed on the same date as this document. Changes to this Agreement or to any deliverables in this contract must be submitted in writing and approved by both parties prior to taking place. Sunlake Interactive agrees to notify company if any schedule delays may take place effecting website completion dates and presentation of the initial design of the website. Sunlake Interactive agrees to present said website in 30 days or less via email production link. Client shall provide Sunlake Interactive with all business information including pictures, video, content, website domain, Facebook or Google logins that would be necessary to complete the website in the 30 days that was agreed to. Any delay in materials from the client will void the 30 day deadline.


Sunlake Interactive shall provide website hosting services for the Client’s website once development is complete. Hosting shall be a shared hosting environment with a minimum of 99.9% server uptime. Sunlake is in agreement to maintain a copy of the client’s website on a cloud server but is not liable for loss of the website or information on the website. If website is lost for any reason that is the fault of Sunlake Interactive a full rebuild will be done at no expense to the client.


Basic updates are expected to be completed within 7 business days of Sunlake Interactive’s acknowledgment depending on level of work required. Any update that takes longer than 7 business days will be communicated via email or verbal to the client.


Design


Client’s website will not include any of the following unless previously agreed upon between both parties.


  1. Any destructive, crude, insulting, harassing, violent, sexual, or any other inappropriate content determined by Sunlake Interactive
  2. Any Illegal Content determined by federal or state law


All materials to be supplied by client must be provided with compatible file types and sizes. All images and materials used are the responsibility of the client and any copyright infringement is the clients responsibility, Sunlake Interactive is not responsible for any reimbursement. Upon termination of this agreement and after all past due payments are paid, Sunlake Interactive shall deliver any and all materials developed in the course of its performance under this Agreement and any other items deemed necessary for the operation of clients website. Documentation shall be delivered in electronic format as agreed upon by both parties. If files are delivered in electronic format, any and all files shall be provided in compatible file formats. Sunlake Interactive agrees they shall maintain website back-ups and one set of the final materials provided for a term up to 30 days. If this Agreement is terminated prematurely or after the agreed backup term, Sunlake will destroy any and all copies, files, and documents related to this website development services agreement.


Pricing


This website management and design service agreement shall be invoiced on a monthly basis. Client agrees to pay each invoice by automatic credit card or debit card. Client must contact Sunlake Interactive directly to update payment information within 48 hours of payment due.


Late Payment Policy


If your payment method on file fails to process, our payment system will send out a secure, automated email with a payment link where you can add your new payment method of choice. The client is responsible for updating all payment methods in a timely manner. Sunlake Interactive allows up to 7 days past due before action is taken to pause or cancel website or marketing services. If the client is not responsive during the 7 day time frame, Sunlake Interactive reserves the right to terminate services upon our discretion. To avoid interruption of service, the client must contact Sunlake Interactive within the 7 day time period of a late bill. If an extended time frame is needed to pay a subscription, it must be approved by a Sunlake Interactive Owner. (Sunlake Interactive allows up to 30 days past due only when a client reaches out to set up a payment plan).


Privacy Policy


As a small business operating in B2B, we collect a limited number of contact details, only from our clients for conversational customer care and following up on contracts. Consent is collected via a verbal script. The script is as follows: 'Thank you {Name} for signing with Sunlake Interactive. To follow up on your contract, could you provide me with your contact details: email and/or phone number. We will only use these details in the context of this contract and not for any other purposes. Could you let me know what's your preferred method of contact: email, calls, or SMS?' Text message communication will only be sent to people who have chosen this method or if the recipients are the one initiating the conversation via text message".


Cancellation Policy


Client may terminate website management and design service agreement at any time, but will be responsible for any remaining contract that was agreed to. Cancellations must be requested from the business owner directly. Sunlake Interactive requests a meeting via phone, in person, or screen-share, to set proper expectations for transfer of information. It is the business owners responsibility to schedule a meeting within the 30 day cancellation window, failure to set a meeting could result in loss of business information/domain access. Sunlake Interactive may cancel this agreement in the same manner if necessary and reserves the right to end the contract early with the client only being responsible for the services already incurred. Any yearly costs if Sunlake Interactive cancels will be the responsibility of Sunlake Interactive. In the event that this website management and design service agreement is cancelled by either party, Sunlake Interactive shall continue to bill the monthly service until the client transfers the domain and all content to a website host of choice or asks Sunlake Interactive to shutdown the site. The Client agrees to pay the final invoice according to the terms of this website management and design service agreement. Upon final payment for services rendered and agreed upon, Sunlake Interactive shall transfer the domain back to the client's hosting service of choice. Should the client not wish to keep the domain, Sunlake Interactive can let it fall out of date.


Conflict Resolution


This website development services agreement shall be governed by the prevailing laws of Florida, Pasco County. Should any conflicts arise related to this agreement, the Parties agree to seek a suitable resolution through a neutral arbitrator, whose ruling shall be considered final and binding on both parties.
