Terms & Conditions

This website development services agreement (“Agreement”) is intended as a legally binding agreement between Sunlake Interactive (“Sunlake,” “we,” “us”) and the business signing, collectively known as the Client (“you”). The Client has agreed to allow Sunlake Interactive to create, develop, test, and host a website according to the scope of work outlined on the order form. Sunlake Interactive is interested in undertaking such work; and the Client and Sunlake Interactive mutually desire to set and agree to the following terms and conditions as listed.
Scope of Work
Sunlake Interactive is being hired as a subscription website design service. The website will be designed on Sunlake Interactive’s platform of choice, which may change at any time.
The initial website design will not exceed 10 pages, or the number of pages specifically agreed upon in the signed contract. Title tags and description tags for your business are included in all plans.
Length of Term
Our standard policy is a 12-month commitment, followed by a month-to-month term thereafter.
Service begins on the date the Agreement is signed and the first payment is made. Clients are responsible for all twelve (12) months of payments under the initial commitment. After the 12-month term, services will continue automatically on a month-to-month basis until canceled by either party under the Cancellation Policy.
If a client chooses to terminate service before the initial 12-month term is completed, the remaining balance will be charged to the card or bank account on file on the date of termination. Failure to pay all months in full may result in Sunlake Interactive retaining ownership of the domain until the balance is paid in full. Sunlake Interactive reserves the right to report unpaid dues to a collection agency.
Sunlake Interactive Requirements
Client hereby retains the services of Sunlake Interactive to design, develop, and host a website and necessary additional items as listed in accordance with the proposal submitted by Sunlake Interactive to the Client and signed on the same date as this document.
Sunlake Interactive agrees to notify the Client if any schedule delays may affect website completion dates and presentation of the initial design. Sunlake Interactive agrees to present the initial website in 30 days or less via email production link. The Client shall provide all business information—including pictures, video, content, website domain, Facebook or Google logins—necessary to complete the website within the 30-day window. Any delay in materials from the Client will void the 30-day deadline.
Sunlake Interactive shall provide website hosting services once development is complete. Hosting shall have a minimum of 99.9% server uptime. Sunlake will maintain a copy of the client’s website on a cloud server but is not liable for loss of the website or information on the website. If the website is lost for any reason that is the fault of Sunlake Interactive, a full rebuild will be done at no expense to the Client.
Basic updates are expected to be completed within 7 business days of Sunlake Interactive’s acknowledgment, depending on the level of work required. Any update that takes longer than 7 business days will be communicated to the Client via email or verbally.
Design
Client’s website will not include any of the following unless previously agreed upon between both parties:
- Any destructive, crude, insulting, harassing, violent, sexual, or any other inappropriate content determined by Sunlake Interactive
- Any illegal content determined by federal or state law
All materials supplied by the Client must be provided in compatible file types and sizes. Client is responsible for rights to all provided materials; any copyright infringement is the Client’s responsibility. Sunlake Interactive is not responsible for any reimbursement arising from copyright claims.
Upon termination of this Agreement and after all past-due payments are paid, Sunlake Interactive shall deliver materials developed in the course of its performance under this Agreement and any other items deemed necessary for the operation of the Client’s website. Documentation shall be delivered in an electronic format agreed upon by both parties. Sunlake maintains website backups and one set of final materials for up to 30 days. If this Agreement is terminated prematurely or after the agreed backup term, Sunlake will destroy any copies, files, and documents related to this agreement.
Website Redesigns
We offer redesigns to our current SEO clients once they have been with us for 2 years or more.
If your business is changing, changing hands, restructuring, or rebranding and you need a website redesign before the 2-year mark, the following options apply:
- Pay our hourly web redesign rate; or
- Sign an extension on your contract for an additional 12 months.
Pricing
This website management and design service is invoiced on a monthly basis.
Payment Methods. We bill through ACH or credit card only. Client agrees to keep a valid payment method on file and authorizes automatic charges for recurring services and approved project work.
Upfront / Advance Payments (Exceptions Only)
Our standard policy is a 12-month commitment with monthly billing, and we do not accept upfront payments for services.
If Sunlake Interactive makes an exception and agrees in writing to accept multiple months or a year in advance:
- Such upfront/advance payments are non-refundable, regardless of cancellation of services by the Client.
- Work may be scheduled and allocated based on the advance commitment, and capacity is reserved accordingly
- Any unused portion of an upfront/advance payment will not be refunded or credited unless Sunlake Interactive cancels the agreement without cause (see Cancellation Policy).
Price Adjustment
Sunlake Interactive reserves the right to increase pricing based on inflation and increased business expenses at any time with written email notice. The increase will be effective on the next billing date after the email notice has been sent.
Late Payment Policy
If your payment method on file fails to process, our system will send a secure, automated email with a payment link to update your payment method. The Client is responsible for updating payment methods promptly.
Sunlake Interactive allows up to 7 days past due before action is taken to pause or cancel website or marketing services. If the Client is not responsive during the 7-day window, Sunlake may terminate services at our discretion. To avoid interruption, the Client must contact Sunlake within 7 days of a late bill. If an extended time frame is needed, it must be approved by a Sunlake Interactive Owner. Sunlake may allow up to 30 days past due only when the Client reaches out to set up a payment plan.
Privacy Policy (Communications & Contact Data)
As a small business operating in B2B, we collect a limited number of contact details only from our clients for conversational customer care and following up on contracts. Consent is collected via a verbal script:
“Thank you {Name} for signing with Sunlake Interactive. To follow up on your contract, could you provide me with your contact details: email and/or phone number? We will only use these details in the context of this contract and not for any other purposes. Could you let me know your preferred method of contact: email, calls, or SMS?”
Text message communication will only be sent to people who have chosen this method or if the recipient initiates the conversation via text message.
Cancellation Policy
During the Initial 12-Month Term:
Client may terminate service at any time but will remain responsible for any remaining months in the initial 12-month commitment. The remaining balance will be charged to the payment method on file at the time of termination.
After the 12-Month Term (Month-to-Month):
Client may cancel at any time by notifying Sunlake Interactive. We require a 30 day cancellation notice. Billing stops after (a) the site is shut down at the Client’s request, or (b) the domain and content are transferred to a host of the Client’s choice and the final invoice is paid, whichever occurs first. Any amounts already paid for the current billing period are not prorated.
Sunlake Interactive requests a meeting via phone or screen-share to set proper expectations for transfer of information. It is the business owner’s responsibility to schedule a meeting within the 30-day cancellation window; failure to do so could result in loss of business information/domain access.
Sunlake-Initiated Cancellation.
Sunlake may cancel this Agreement if necessary and reserves the right to end the contract early, with the Client only responsible for services already incurred. Any
yearly costs paid in
advance
to Sunlake and attributable solely to Sunlake’s early cancellation without cause will be handled by Sunlake.
Effect of Upfront/Advance Payments (Exceptions).
Where an upfront/advance payment was accepted under a written exception, such payments are
non-refundable
(see
Upfront / Advance Payments). If Sunlake cancels without cause, Sunlake will address any unearned portion fairly.
Ownership & Transfer
Except as noted under any fixed-term agreement for non-payment, Client owns Client-provided content and, upon final payment of all outstanding balances, owns the final website content delivered by Sunlake. Platform-specific templates, proprietary tooling, and third-party licensed assets remain subject to their respective licenses and may not be transferable.
Conflict Resolution
This Agreement shall be governed by the laws of Florida and Pasco County. Should any conflicts arise related to this Agreement, the Parties agree to seek a suitable resolution through a neutral arbitrator, whose ruling shall be considered final and binding on both parties.
Acceptance
By signing the order form or otherwise authorizing service, the Client acknowledges and agrees to these Terms & Conditions.
